Termination or suspension doesn’t affect rights, obligations, or liabilities that accrued before the effective date of termination.

Provisions that by their nature should survive termination will continue to apply.

We may update these Terms periodically to reflect changes in:

  • Our Services and functionality

If you don’t agree to updated Terms, you should discontinue use of the affected Services.

18. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or the Services are governed by the laws of England and Wales, without regard to conflict-of-law principles, except where mandatory laws applicable to you provide otherwise.

Subject to applicable consumer protection laws, disputes relating to these Terms or the Services are subject to the jurisdiction of the courts of England and Wales.

If you’re a consumer residing in a jurisdiction that provides mandatory rights to bring proceedings before your local courts or receive the protection of local consumer laws, nothing in these Terms is intended to limit those rights.

19. Severability

If any provision of these Terms is found by a court or other competent authority to be invalid, unlawful, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary to make it enforceable where possible.

If this isn’t possible, the affected provision will be treated as severed from these Terms.

The remaining provisions will continue in full force and effect.

20. No Waiver

If Nova Vertex LTD doesn’t immediately enforce a provision of these Terms or exercise a right available under them, this doesn’t constitute a waiver of that provision or right.

Any waiver must be expressly made by us and will apply only to the circumstances for which it was given.
